FAMIA TERMS OF SERVICE

Effective Date: September 28, 2026

These Terms of Service ("Terms") govern your access to and use of the Famia website and related services operated by 787 Cloisters, Inc. ("Famia," "we," "our," or "us").

By creating an account or otherwise using Famia (the "Service"), you agree to these Terms.

Please also review our Privacy Policy, which describes how we collect, use, disclose, and protect personal information.

1. Eligibility and Accounts

You must be at least 18 years old to create a Famia account or submit requests through the Service.

When you create or use an account, you agree to:

  • Provide accurate information;
  • Keep your login credentials secure;
  • Use Famia only for lawful purposes; and
  • Notify us if you believe your account has been compromised.

You are responsible for activity conducted through your account.

2. What Famia Does

Famia is a technology marketplace that helps consumers discover and connect with providers of cosmetic, aesthetic, dental, dermatological, and related elective services.

Depending on the features available, Famia may allow you to:

  • Browse provider information;
  • Submit treatment or service requests;
  • Upload photos and request details;
  • Receive preliminary quotes or information from participating providers;
  • Compare providers;
  • Communicate with participating providers; and
  • Use marketplace, matching, recommendation, informational, analytical, or other technology-enabled features.

Famia is not a healthcare provider and does not itself provide medical or dental diagnosis, treatment, or professional healthcare advice.

3. Providers Are Independent

Providers available through Famia are independent professionals or businesses. They are not employees, agents, partners, or representatives of Famia.

Famia is not a party to:

  • Professional treatment relationships;
  • Medical or dental informed consent;
  • Clinical decisions;
  • Treatment agreements;
  • Scheduling arrangements;
  • Provider billing or payment arrangements; or
  • Other agreements between you and a provider.

Providers are solely responsible for their professional services, credentials, clinical decisions, diagnosis, treatment, final pricing, scheduling, billing, regulatory compliance, and treatment outcomes.

Using Famia does not itself create a doctor-patient, dentist-patient, or other healthcare professional relationship between you and Famia.

You are responsible for deciding whether a provider is appropriate for you and for discussing treatment options, risks, alternatives, qualifications, pricing, and other relevant matters directly with that provider.

If a dispute arises between you and a provider, Famia may assist with communications at its discretion, but is not required to resolve the dispute.

4. Preliminary Quotes and Treatment Information

Quotes, estimates, pricing information, and provider responses available through Famia are preliminary and non-binding.

They may be based on limited information, including photographs and information you provide.

A preliminary quote may change following:

  • An in-person consultation;
  • Clinical examination;
  • Diagnostic testing or imaging;
  • Laboratory requirements;
  • Additional information;
  • Changes in the proposed treatment; or
  • Other clinical or administrative considerations.

Final treatment decisions and final pricing are determined by the provider.

Famia does not guarantee:

  • That any provider will respond;
  • That you will receive a particular number of quotes;
  • The accuracy or completeness of a preliminary quote;
  • That a preliminary quote will match the final price;
  • The suitability of a provider; or
  • Any particular clinical, cosmetic, or other result.

5. Provider Information and Verification

Famia may display provider information obtained from participating providers, authorized third-party services, public records, licensing sources, or other sources.

Although we may review or verify certain information, provider information can change and we do not guarantee that every listing is complete, accurate, or current at all times.

Famia may display a verification badge or similar designation when certain information has been reviewed under Famia's then-current verification process.

A verification indicator means only that Famia reviewed the specified criteria. It does not constitute:

  • An endorsement;
  • A professional recommendation;
  • A guarantee of continued licensure;
  • A guarantee of competence, quality, or safety; or
  • A guarantee of treatment results.

Any ranking, matching, recommendation, or other marketplace feature is intended to help users navigate the Service and is not professional medical or dental advice.

6. Your Photos, Requests, and Other Content

You may provide photographs, messages, treatment interests, request information, and other materials through the Service ("User Content").

You retain ownership of your User Content.

You grant Famia a non-exclusive, royalty-free, worldwide license to host, store, reproduce, process, transmit, display, and otherwise use User Content as reasonably necessary to operate, provide, secure, maintain, improve, and develop the Service, consistent with:

  • Our Privacy Policy;
  • Your applicable choices and consents; and
  • Applicable law.

This license includes the ability to provide or sublicense User Content to our service providers and participating providers only as reasonably necessary to provide and operate the Service.

For example, when you submit a quote request and provide consent, Famia may share your photos and request details with participating providers so that they can evaluate and respond to your request.

Famia does not sell or license user-uploaded photos, and user-uploaded photos are not included in datasets that we sell or license.

As described in our Privacy Policy, if we introduce a feature involving a materially different use of photos or other sensitive information, we will provide additional notice and obtain consent where required by applicable law.

You represent that you have the right to provide any User Content you submit.

You may not submit content that:

  • Belongs to another person without appropriate permission;
  • Depicts or contains personal information about a person under 18;
  • Is unlawful, fraudulent, threatening, abusive, or intentionally misleading;
  • Violates intellectual-property, privacy, or other rights; or
  • Contains malware or is intended to interfere with the Service.

7. Communications and Acceptable Use

You may not use Famia to:

  • Harass, threaten, or abuse another person;
  • Send spam or fraudulent communications;
  • Impersonate another person or entity;
  • Misrepresent material information;
  • Obtain unauthorized access to accounts or systems;
  • Circumvent security or access controls;
  • Introduce malicious code;
  • Interfere with the operation or security of the Service;
  • Scrape, crawl, harvest, index, or systematically extract Famia content or data without authorization;
  • Use Famia content to build an unauthorized competing database, directory, marketplace, or service;
  • Use automated systems in a manner that materially burdens the Service; or
  • Violate applicable law or the rights of another person.

We may investigate suspected misuse and may restrict, suspend, or terminate access when reasonably appropriate.

8. Third-Party Services

Famia may contain links, maps, provider information, integrations, or functionality supplied by third parties.

Your use of third-party services may be governed by separate terms and privacy policies.

Famia does not control and is not responsible for third-party websites, products, services, acts, omissions, or privacy practices.

9. Famia Intellectual Property

The Service, including Famia's software, branding, designs, interfaces, text, graphics, logos, and other content owned or created by Famia, is protected by applicable intellectual-property laws.

Subject to these Terms, Famia grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purposes.

Except for the limited rights expressly granted to you, Famia retains all rights in the Service and its intellectual property.

10. Changes, New Features, and Paid Services

Famia is an evolving service.

We may add, modify, test, suspend, or discontinue features from time to time, including marketplace, matching, recommendation, pricing, analytical or other technology-enabled features.

We may also introduce paid features or services in the future.

Applicable prices and any additional terms will be presented before you purchase or use a paid feature.

If a new feature changes how we use personal information, we will provide notices or obtain consent as required by applicable law.

11. Account Suspension and Termination

You may stop using Famia at any time.

Where available, you may request deletion of your account or associated information as described in our Privacy Policy.

We may restrict, suspend, or terminate your access if we reasonably believe you:

  • Materially violated these Terms;
  • Used the Service unlawfully or fraudulently;
  • Created a security or safety risk;
  • Abused another user or provider; or
  • Materially misused the Service.

Termination does not affect provisions that by their nature should survive, including intellectual-property provisions, limitations of liability, indemnification obligations, and other provisions intended to survive termination.

12. No Medical Advice or Emergency Services

Famia provides marketplace and informational tools.

Information available through Famia, including preliminary quotes, provider communications, automated features, and marketplace information, is not a substitute for professional medical or dental evaluation, diagnosis, or treatment.

Famia is not an emergency service.

If you believe you are experiencing a medical emergency, contact emergency services or an appropriate healthcare professional.

13. Disclaimer of Warranties

Famia is provided on an "as is" and "as available" basis.

We do not guarantee that the Service will always be available, secure, uninterrupted, or error-free.

We also do not guarantee:

  • The completeness or accuracy of provider listings;
  • Provider availability or responsiveness;
  • The suitability or qualifications of a provider for your particular needs;
  • The accuracy of preliminary prices, quotes, or estimates;
  • The accuracy or reliability of automated or technology-enabled outputs;
  • The availability of any particular service; or
  • Any medical, dental, cosmetic, aesthetic, or other outcome.

These disclaimers do not eliminate any warranty, right, or remedy that applicable law does not permit us to disclaim.

14. Limitation of Liability

Famia and 787 Cloisters, Inc. are not responsible for the independent professional services, treatment decisions, acts, omissions, or outcomes of participating providers.

Except where applicable law requires otherwise, Famia and 787 Cloisters, Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Service, including damages arising from:

  • Provider acts or omissions;
  • Professional treatment or services;
  • Reliance on provider listings, quotes, estimates, or other marketplace information;
  • Third-party websites, services, or integrations;
  • Service interruptions, errors, or unavailability;
  • Loss or corruption of information; or
  • Unauthorized access to information despite reasonable safeguards.

Except where applicable law requires otherwise, the total aggregate liability of Famia and 787 Cloisters, Inc. arising out of or relating to the Service will not exceed the greater of:

(a) the amount you paid directly to Famia during the 12 months before the event giving rise to the claim; or

(b) $100.

Nothing in these Terms limits liability that applicable law does not permit Famia to limit.

15. Indemnification and Responsibility for Misuse

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless 787 Cloisters, Inc., Famia, and their officers, directors, employees, and agents from third-party claims, damages, liabilities, losses, and reasonable expenses arising out of:

  • Your unlawful or fraudulent use of the Service;
  • Your material violation of these Terms;
  • User Content you provide without necessary rights or permissions; or
  • Your infringement or violation of another person's rights.

This provision does not require you to indemnify Famia for Famia's own unlawful conduct or for liability that applicable law places on Famia.

16. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws rules.

Except where applicable law gives you a non-waivable right to proceed elsewhere, any legal action arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in New York County, New York. You and Famia consent to the personal jurisdiction of those courts.

Nothing in these Terms waives any consumer right or protection that applicable law does not permit you to waive.

17. New Jersey Residents

If you are a New Jersey resident, nothing in these Terms is intended to waive, restrict, or eliminate any right, remedy, warranty, or consumer protection that cannot lawfully be waived under New Jersey law.

For New Jersey residents specifically:

  • The warranty disclaimers in Section 13 apply only to the extent permitted under New Jersey law;
  • The exclusions of damages and monetary limitations in Section 14 apply only to the extent permitted under New Jersey law;
  • The indemnification and user-responsibility obligations in Section 15 do not require you to assume responsibility for conduct or liability that New Jersey law places on Famia.

Nothing in these Terms is intended to waive a clearly established, non-waivable consumer right or remedy available under New Jersey law.

18. Changes to These Terms

We may update these Terms from time to time as Famia changes.

When we do, we will update the Effective Date.

If a change materially affects your rights, we will provide additional notice where required by applicable law.

Your continued use of Famia after revised Terms become effective constitutes acceptance of the revised Terms, except where applicable law requires another form of consent.

19. General Terms

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not assign or transfer your rights under these Terms without our consent.

Famia may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar business transaction.

These Terms, together with any additional terms that apply to a particular Famia feature, constitute the agreement between you and Famia concerning your use of the Service.
